1. Services

minidev.pro provides software development services including but not limited to:

• MVP (Minimum Viable Product) development
• Full-stack web application development
• Ongoing development retainer services
• Technical consulting and architecture design

2. Project Engagement

All projects begin with a consultation to determine scope, timeline, and pricing. Upon agreement:

• A written agreement will be provided outlining project specifics
• Payment terms will be clearly defined
• Deliverables and milestones will be established
• Communication channels will be set up

3. MVP Development Terms

For MVP development projects:

• Standard delivery time is 30 days from project commencement
• $2,000 refund guarantee applies if MVP is not delivered within agreed timeframe
• Scope must be agreed upon before project starts
• Major scope changes may affect timeline and pricing
• 30 days of post-launch bug fixes are included

4. Retainer Services

For ongoing retainer partnerships:

• Monthly retainer includes 60 hours of development time
• Unused hours do not roll over to subsequent months
• Services can be paused or cancelled with 7 days notice
• Priority support and direct developer access included
• Additional hours available at agreed hourly rate

5. Payment Terms

Payment terms vary by service type:

• MVP projects: 50% upfront, 50% on delivery
• Retainer services: Monthly in advance
• All payments are non-refundable except as specified in our guarantee
• Late payments may result in work stoppage
• Accepted payment methods: Bank transfer, Credit card, Crypto

6. Intellectual Property

Upon full payment:

• All custom code and deliverables become your property
• You receive full source code and documentation
• Open source components remain under their respective licenses
• We retain the right to showcase work in our portfolio (unless under NDA)

7. Confidentiality

We maintain strict confidentiality regarding:

• Your business information and trade secrets
• Project details and proprietary methods
• Any information marked as confidential
• We're happy to sign additional NDAs as needed

8. Warranties and Limitations

We provide our services "as is" with the following considerations:

• We warrant our work will meet agreed specifications
• Bug fixes are provided as per agreement terms
• We are not liable for indirect or consequential damages
• Our total liability is limited to the amount paid for services

9. Communication and Support

We maintain professional communication standards:

• Primary communication via Slack or email
• Response time: 2-4 hours during business hours
• Daily updates for active projects
• Emergency support available for retainer clients

10. Termination

Either party may terminate services:

• MVP projects: As per project agreement terms
• Retainer services: With 7 days written notice
• Immediate termination for breach of terms
• Work completed to date will be delivered upon payment

11. Dispute Resolution

In case of disputes:

• We first attempt resolution through direct communication
• If needed, mediation will be pursued
• Legal proceedings as last resort
• Governing law: Laws of Delaware, USA

12. Changes to Terms

We may update these Terms periodically. Changes will be communicated via email and posted on our website. Continued use of services after changes constitutes acceptance.
